Terms and Conditions of Sale
Terms and Conditions of Sale B2C
Last updated 13 October 2026
The website www.reda1865.com (the “Site”) is operated by Successori Reda S.B.p.A., with registered office at Via Robiolio 25, 13835 Valdilana (BI), Italy, registered with the Biella Companies Register, REA BI-156029, VAT no. 01676570029 (“REDA” or the “Seller”).
These General Conditions of Sale govern exclusively the distance sale, through the Site, of goods offered by REDA to natural persons acting for purposes outside any business, commercial, craft or professional activity they may carry out (the “Customer” or the “Consumer”). REDA therefore reserves the right not to process orders from parties other than “consumers” or, in any case, orders not in line with its commercial policy. If you are not a Consumer, please access the section dedicated to businesses.
The Customer is therefore invited to read carefully the General Terms of Use, as well as the Privacy Policy and these General Conditions of Sale, before using the Site.
The applicable Conditions are those published and accepted at the time the order is submitted. They can be stored and reproduced by the Customer. Any subsequent amendment applies only to orders submitted after its publication and does not modify contracts already concluded.
“Product” means each item of goods offered on the Site; “Order” means the purchase offer submitted by the Customer; “Contract” means the contract of sale concluded between REDA and the Customer pursuant to Article 1.
For any information regarding orders, shipments and, more generally, purchases, you can contact Reda customer care at the e-mail address store@reda.it or at the following telephone number +39 015 7049111 (Mon–Fri 8:30–12:30 and 14:00–18:00 Italian time).
1. Acceptance of the general conditions of sale and conclusion of the contract
1.1 Before submitting the Order, the Customer must read these Conditions, the main characteristics of the Products, the total price, the payment and delivery methods and the information on the right of withdrawal. Acceptance of the Conditions relates to the individual Order and does not entail any waiver of the mandatory rights granted to the Consumer.
1.2 The presentation of the Products on the Site constitutes an invitation to make a purchase offer. Submission of the Order entails the obligation to pay the price, if REDA accepts the Order.
1.3 Before submitting the online purchase order form, the Customer may check the Order summary and correct any errors relating to the Products, quantities, personal data, delivery address, payment method and other information entered.
1.4 After receiving the Order, REDA will send an electronic message acknowledging that the Order has been taken in charge. The Contract is concluded when REDA sends the Customer the Order confirmation e-mail, which constitutes acceptance of the offer. Where an initial message is purely automatic and does not constitute acceptance, this shall be expressly stated in the message itself.
1.5 The Order confirmation contains the essential characteristics of the Products; the Order number and date; the identity and contact details of the Seller; the total price inclusive of taxes and any additional costs; the payment method; the delivery address, method and time limit; the information on withdrawal and the related model form; the reminder of the legal guarantee of conformity.
1.6 REDA may decline to accept an Order that is incomplete or not compliant with these Conditions, anomalous in terms of quantity or frequency, or relating to Products that are not available. In such case, REDA shall inform the Customer without undue delay and, in any event, within seven days of receipt of the Order. If a charge has already been made, REDA will refund the amount without undue delay and, in any event, within fourteen days of the notice of non-acceptance.
1.7 The Contract is concluded in English. The Order form and the related documentation are kept by REDA for the time necessary to perform the Contract and for the periods required by law. A registered Customer may consult their orders in their personal area, without prejudice to the right to request a copy from Customer Service.
2. Purchasing procedure and product information
2.1 The Products offered for sale by REDA are solely those present on the Site at the time the Order is submitted, as described in the relevant product information sheets. The pre-contractual information provided in the product sheet, in the cart and at checkout forms an integral part of the Contract.
2.2 Images are for illustrative purposes only. Colours, textures and proportions may appear different depending on the screen, browser or device settings; the description of the Product and the characteristics expressly indicated in the product sheet or in the order confirmation remain binding. Variations inherent in natural fibres and normal production tolerances do not constitute a defect, provided that they do not impair the agreed use or the promised qualities.
2.3 To place an Order, the Customer must fill in all parts of the relevant form on the Site, select the Product(s), any variant and the quantity, add it to the cart, choose the available delivery and payment methods, check the summary and submit the Order. The Customer must provide complete, correct and up-to-date data and keep their login credentials safe with due care.
2.4 Correct receipt of the Order is confirmed by REDA by means of an e-mail confirmation sent to the e-mail address provided by the Customer. This confirmation message will set out the conditions of purchase, as required by applicable law, as well as the data entered in the Order by the Customer, so that the Customer can check them and, where necessary, promptly communicate any corrections to incorrect data. The Customer may also check the data by accessing “My account” in the “My orders” section.
2.5 The availability indicated on the Site is updated with the utmost care, but may vary before the conclusion of the Contract. In the event of subsequent unavailability, REDA will inform the Customer and offer, at the Customer’s choice, to wait until a new expressly accepted deadline, a substitute Product of equivalent value and characteristics, or cancellation and refund. No substitution will be made without the Customer’s consent.
2.6 If the Order includes several Products and only some are available, REDA may make a partial delivery only if the Customer is informed and does not incur additional costs. The Customer retains the right to refuse the partial delivery where the purchase of the Products as a whole was essential and this requirement had been communicated or was apparent from the circumstances.
2.7 Where applicable to the Product, the Site provides, before the Order, the available information on the commercial guarantee of durability, on care instructions and on any restrictions on repair. Environmental or sustainability claims relating to the Products are based on verifiable information and concern only the aspects expressly indicated.
3. Prices and payment methods
3.1 The prices shown to Consumers are expressed in the currency indicated on the Site and are exclusive of VAT and of the other applicable taxes that REDA is required to collect. Before submitting the Order, the Customer is shown the total price of the Products, the delivery costs and any other costs due. The Customer is not required to pay any additional costs of which they were not informed before the Order.
3.2 For deliveries to countries outside the European Union, duties, import taxes or charges required by the authorities of the country of destination may apply. The Customer must take care to obtain information on these in advance, before placing the Order.
3.3 Payment may be made by credit card, PayPal or the other instruments expressly indicated at checkout. REDA does not apply surcharges exceeding the costs incurred for the use of a specific means of payment.
3.4 The charge is made in accordance with the conditions of the chosen means of payment and, as a rule, at the time the Order is accepted. A temporary pre-authorisation may be requested before acceptance. If the Order is not accepted or is cancelled, REDA will release the pre-authorised amount or make the refund within the time limits indicated in these Conditions; the technical posting times depend on the payment service provider.
3.5 Full card details are transmitted directly to the payment service provider via a secure connection and are not stored by REDA, save as may be permitted and requested by the Customer through instruments compliant with applicable law. The technical handling of payment does not exclude or limit the liabilities of REDA, of the provider or of the card issuer provided for by law.
3.6 If, in exceptional cases, the published price is manifestly incorrect and the Customer could reasonably have recognised the error, REDA shall inform the Customer before acceptance and allow the Customer to confirm the Order at the correct price or to cancel it at no cost. The Customer’s rights in the event of unfair commercial practices or misleading information remain unaffected.
4. Delivery of products and related costs
4.1 REDA delivers the Products to the address indicated by the Customer, through the carriers and by the methods available at checkout. Before the Order, the delivery costs, the time limit or date by which REDA undertakes to deliver and, where available, environmentally friendly delivery options are indicated.
4.2 Unless a different time limit has been agreed with the Customer, delivery takes place without undue delay and in any event within 30 (thirty) days of the conclusion of the Contract. The timeframes indicated at checkout and in the Order confirmation constitute the delivery commitment applicable to the Contract.
4.3 If REDA fails to deliver within the agreed time limit, the Customer may ask REDA to make the delivery within an appropriate additional period. If such period expires without delivery, the Customer may terminate the Contract and obtain, without undue delay, a refund of the sums paid, without prejudice to compensation for any damage. The Customer may terminate the Contract immediately where REDA refuses to deliver, where the delivery time limit was essential in view of the circumstances, or where the Customer had informed REDA, prior to the conclusion of the Contract, that delivery by a specific date was essential.
4.4 Events not attributable to REDA may cause a delay. REDA shall promptly inform the Customer and take reasonable measures to limit its effects. This provision does not limit the Customer’s mandatory remedies under Article 61 of the Italian Consumer Code.
4.5 The risk of loss or damage passes to the Customer when the Customer, or a third party designated by the Customer other than the carrier, acquires physical possession of the Products. If the Customer independently chooses a carrier not proposed by REDA, the risk passes upon delivery of the Product to that carrier, without prejudice to the Customer’s rights against the carrier.
4.6 Upon delivery, the Customer is invited, where possible, to check the number of packages and the integrity of the packaging and to note any anomalies on the carrier’s document. Failure to check, failure to make a reservation or reporting after 8 (eight) days shall not result in the forfeiture of the legal guarantee or of the Consumer’s other rights.
4.7 The Customer is invited to notify Customer Service, as soon as possible, of any transport damage, shortages or discrepancies, attaching, if available, photographs of the packaging and of the Product. These elements facilitate the handling of the case but are not a condition for exercising the rights provided for by law.
5. Right of withdrawal
5.1 Subject to the exceptions provided for by law, the Customer may withdraw from the Contract without giving any reason and without penalty within 14 (fourteen) days. The period runs from the day on which the Customer, or a third party designated by the Customer other than the carrier, acquires physical possession of the Product; for several Products ordered together and delivered separately, from possession of the last Product; for a Product consisting of multiple lots or pieces, from possession of the last lot or piece.
5.2 To exercise the right of withdrawal within the time limit, the Customer may send a written and explicit statement of the decision to withdraw to the Seller – providing their details (first name, surname, address and e-mail), the dates of order and receipt of the Products, the order number and the relevant Products purchased – to the e-mail address store@reda.it or by registered letter with return receipt to Successori Reda S.B.p.A., Via Robiolio 25, 13835 Valdilana (BI), Italy.
5.3 REDA shall send, without undue delay, an acknowledgement of receipt containing the statement and the date and time of its transmission. The withdrawal is timely if the statement is sent before the time limit expires.
5.4 The Customer is not required to use any particular wording or to state the reason for the withdrawal. It is sufficient that the statement allows the Customer and the Contract to be identified. The Order number and the indication of the Products concerned facilitate the handling of the request.
5.5 The right of withdrawal is excluded only in the cases provided for by Article 59 of the Italian Consumer Code, including the supply of goods made to measure or clearly personalised. Any exclusion relating to a Product sold by the metre or cut to the Customer’s specifications applies only where the legal requirements are actually met and is clearly communicated in the product sheet and before the Order is submitted. In the absence of such information, REDA shall not invoke the exclusion against the Customer.
5.6 If REDA fails to provide the information on the right of withdrawal correctly, the withdrawal period expires twelve months after the end of the initial fourteen-day period. If the information is provided during such extension period, the withdrawal period expires fourteen days after its receipt.
5.7 The exercise of the right of withdrawal terminates the parties’ obligations to perform the Contract and, where applicable, results in the termination of any ancillary contracts at no further cost, except for those expressly provided for by law.
6. Return of products
6.1 After notifying the withdrawal, the Customer shall return the Products to REDA without undue delay and in any event within 14 (fourteen) days of the notification, following the instructions provided by Customer Service. The time limit is met if the Customer hands the Products over to the carrier before it expires. The Customer is required to keep proof of shipment.
6.2 Unless REDA has expressly agreed to bear them, the direct costs of returning the Products following the exercise of the right of withdrawal shall be borne by the Customer, in accordance with the information provided before the conclusion of the Order. The return costs shall be borne by REDA where REDA failed to inform the Customer in advance that they would be borne by the Customer, or expressly offered free returns.
In any event, REDA shall bear the costs necessary for the return of Products that are incorrect, damaged at the time of delivery or affected by a lack of conformity attributable to REDA, in accordance with the legal guarantee of conformity, without prejudice to the applicable remedies.
6.3 The Products must be sent to the address indicated in the return instructions. Unless otherwise indicated by Customer Service, the return address is: Successori Reda S.B.p.A., Via Robiolio 25, 13835 Valdilana (BI), Italy.
The right of withdrawal may not be denied solely because the return is shipped from a country other than the one in which the Order was placed. The Customer is nevertheless required to comply with the reasonable instructions given by REDA for the logistics and customs handling of the return. In the case of withdrawal due to a change of mind, any additional direct costs resulting from the Customer’s choice to ship the Product from a different country or by methods other than those indicated by REDA shall be borne by the Customer, unless the different method was agreed with REDA or was made necessary by a cause attributable to REDA.
6.4 The Customer may inspect the Product only to the extent necessary to establish its nature and characteristics, as they could reasonably do in a shop. The Customer is liable only for any diminished value resulting from handling other than or beyond that necessary for such inspection.
By way of example, use of the Product beyond what is necessary to try it, washing, alteration or damage to it may result in a diminished value, to be assessed on a case-by-case basis. Such circumstances do not automatically result in the loss of the right of withdrawal, except in cases where the right is expressly excluded by law.
6.5 The Customer is invited to return the Product complete with labels, accessories and original packaging, where still available, and to enclose the return form or another reference suitable for identifying the Order.
Except where the right of withdrawal is excluded by law, the absence of the original packaging, receipt, return form, a label or a seal does not automatically result in the rejection of the withdrawal. Such circumstances may be taken into account solely for the purpose of assessing an actual and proven diminished value of the Product.
6.6 REDA inspects the returned Product without undue delay and, as a rule, within 7 (seven) working days of its receipt, promptly informing the Customer of the outcome of the inspection. Such inspection does not affect the validity of the withdrawal, nor does it allow the refund to be deferred beyond the time limits provided for by law, without prejudice to REDA’s right to withhold the refund until it has received the Products or until the Customer has supplied evidence of having sent them back, whichever is earlier.
Where REDA establishes a diminished value resulting from handling of the Product beyond what is necessary to establish its nature, characteristics and functioning, it shall inform the Customer of the reasons, the calculation criteria and the amount, determined proportionately on the basis of objective and documentable elements.
Except where the right of withdrawal is excluded by law, REDA shall not automatically reject the return or send the Product back to the Customer without first informing the Customer of the reasons for its assessment and allowing the Customer to submit any observations.
7. Refunds
7.1 In the event of withdrawal, REDA shall refund all payments received from the Customer for the Products concerned, without undue delay and in any event within 14 (fourteen) days of the day on which it is informed of the decision to withdraw.
7.2 REDA may withhold the refund until it has received the Products or until the Customer has supplied evidence of having sent them back, whichever is earlier. The withholding does not apply where REDA has offered to collect the Products itself.
7.3 The refund is made using the same means of payment used for the Order, unless otherwise expressly agreed with the Customer and provided that the Customer does not incur any costs. REDA notifies the Customer when the refund has been initiated; the time needed for the credit to become visible may depend on the payment service provider.
7.4 If the Customer has chosen a more expensive type of delivery than the least expensive standard delivery offered by REDA, the refund of delivery costs is limited to the cost of the standard method.
The costs of returning the Products are borne or reimbursed by REDA solely in the cases expressly provided for in Article 6.2. In any other case of exercise of the right of withdrawal, such costs shall be borne entirely by the Customer.
7.5 The provisions of this article do not limit the refunds due in the event of non-acceptance of the Order, unavailability, late delivery, lack of conformity or other breach by REDA.
8. Legal guarantee of conformity
8.1 All Products sold to Consumers are covered by the legal guarantee of conformity provided for by Articles 128 et seq. of the Italian Consumer Code. The legal guarantee is free of charge and is in addition to any commercial guarantees, which may not limit it. In accordance with the applicable legislation, the Site displays the harmonised notice on the minimum two-year duration of the legal guarantee and, where relevant, the harmonised label relating to the commercial guarantee of durability.
8.2 The Product is in conformity when it matches the description, type, quantity and quality agreed; possesses the compatibility and other characteristics provided for by the Contract; is fit for the particular purpose communicated to and accepted by REDA; is supplied with the agreed accessories and instructions; and is fit for the purposes for which goods of the same type would normally be used, taking into account public statements, samples or models, durability and the qualities reasonably expected.
8.3 REDA is liable for any lack of conformity existing at the time of delivery which becomes apparent within 2 (two) years of that time. Unless proven otherwise, a lack of conformity which becomes apparent within one year of delivery is presumed to have existed at the time of delivery, unless this presumption is incompatible with the nature of the Product or of the lack of conformity.
8.4 The Customer may report the lack of conformity to Customer Service without being subject to the 2 (two)-month forfeiture period referred to in the previous paragraph. It is nevertheless advisable to report the problem as soon as possible, describing the lack of conformity and indicating the Order number. Photographs and other elements may facilitate the assessment but do not replace or limit the Customer’s rights. The action to enforce a lack of conformity not fraudulently concealed by REDA becomes time-barred twenty-six months after delivery; a Customer sued for performance of the Contract may always assert the remedies provided for by law.
8.5 In the event of a lack of conformity, the Customer is entitled, in the first instance and at their choice, to repair or replacement free of charge, unless the chosen remedy is impossible or would impose costs on REDA that are disproportionate compared with the other remedy, taking into account the circumstances provided for by law.
8.6 Repair or replacement is carried out within a reasonable period from the time REDA is informed of the lack of conformity, without significant inconvenience to the Customer and without shipping, transport, labour or material costs. REDA provides the instructions and bears the costs necessary for the return of the non-conforming Product.
8.7 The Customer is entitled to a proportionate price reduction or, unless the lack of conformity is minor, to terminate the Contract where: REDA has not repaired or replaced the Product in the manner and within the time required; the lack of conformity persists despite the attempt to bring the Product into conformity; the lack of conformity is so serious as to justify an immediate remedy; or REDA has declared, or it is clear from the circumstances, that it will not bring the Product into conformity within a reasonable period or without significant inconvenience.
8.8 In the event of termination, the Customer returns the Product at REDA’s expense and receives a refund of the price paid using the same means of payment, unless otherwise agreed at no cost. The burden of proving that the lack of conformity is minor lies with REDA. The Customer may withhold payment of any outstanding part of the price until REDA has fulfilled its obligations under the guarantee, within the limits permitted by law.
8.9 The guarantee does not cover deterioration due to use contrary to the nature of the Product or to the care or washing instructions communicated before purchase, nor damage caused by the Customer after delivery. REDA must nevertheless prove, where the relevant conditions are met, the causal link between the improper use and the alleged lack of conformity.
8.10 The original receipt is not essential to claim under the guarantee if the Customer can prove the purchase and the delivery date by other suitable means, including the Order confirmation, the payment statement or the data in the account.
9. Complaints, requests for information and dispute resolution
9.1 The Customer may contact Customer Service for information, complaints, withdrawal, returns and guarantee claims by writing to store@reda.it, by calling +39 015 7049111 from Monday to Friday during the hours published on the Site, or by sending a communication to Successori Reda S.B.p.A., Via Robiolio 25, 13835 Valdilana (BI), Italy. Any changes to contact details are published on the Site and communicated on a durable medium where they concern an ongoing relationship.
9.2 The complaint should state the Customer’s name, the Order number, the Product concerned and a description of the problem. REDA confirms receipt and replies without undue delay, providing clear information on the handling and outcome of the complaint. The omission of non-essential data does not result in the loss of rights.
9.3 If a complaint is not resolved directly, the Customer may refer it to a consumer alternative dispute resolution (ADR) body registered in the lists provided for by Articles 141 et seq. of the Italian Consumer Code. The updated list of ADR bodies is available on the website of the Italian Ministry of Enterprises and Made in Italy.
9.4 REDA does not require prior recourse to a specific ADR body as a condition for bringing legal proceedings. Where required by law, following a complaint that has not been resolved, REDA shall inform the Customer, on a durable medium, of the competent ADR body or bodies and state whether it intends to participate in the relevant procedure.
9.5 Recourse to an ADR procedure is voluntary, subject to the mandatory obligations provided for by law, and does not deprive the Customer of the right to bring proceedings before the courts. For cross-border disputes, the Customer may also contact the European Consumer Centre in their own country.
10. Personal data protection
10.1 REDA processes the Customer’s personal data in compliance with Regulation (EU) 2016/679, Legislative Decree No. 196 of 30 June 2003, as amended, and the applicable legislation. The purposes, legal bases, retention periods, recipients and rights of the data subject are described in the Privacy Policy available on the Site.
10.2 A purchase does not entail consent to receive promotional communications. Any consent for marketing purposes is separate, optional and may be withdrawn at any time in the manner indicated in the Privacy Policy.
11. Governing law and jurisdiction
11.1 These Conditions and the Contracts are governed by Italian law. This choice does not deprive a Consumer habitually resident in another country of the protection afforded by the mandatory provisions that would have applied in the absence of such choice, pursuant to Regulation (EC) 593/2008 and the other relevant rules.
11.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Contracts governed by these Conditions, to the extent permitted by applicable mandatory legislation.
11.3 For disputes with a Consumer resident or domiciled in Italy, the court of the place of the Consumer’s residence or domicile has mandatory jurisdiction. For Consumers resident in other countries, the mandatory jurisdiction criteria provided for by the applicable national and European Union legislation apply.
11.4 The nullity or ineffectiveness of any provision shall not affect the validity of the other provisions. The invalid provision shall be replaced, to the extent permitted, by the applicable mandatory rules, without prejudice to the Consumer’s rights.
11.5 In the event of conflict between these Conditions and specific information more favourable to the Customer contained in the product sheet, at checkout or in the Order confirmation, the latter shall prevail for the relevant Contract. Mandatory provisions of law always remain unaffected.

Terms and Conditions of Sale (B2B)
Version of 13 October 2026
The website www.reda1865.com (hereinafter, the “Site”) is operated by Successori Reda – S.p.A. Società Benefit, also known as Successori Reda S.B.p.A. and abbreviated as Reda S.B.p.A., with registered office at Via Robiolio no. 25, 13835 Valdilana (BI), Italy, registered with the Biella Companies Register, REA BI-156029, tax code and VAT no. 01676570029 (hereinafter, “REDA” or the “Seller”).
These B2B General Conditions of Sale (hereinafter, the “Conditions”) govern exclusively purchases made on the Site by customers acting in the course of their business, commercial, craft or professional activity who, therefore, register on the site as a “Company”. The Conditions are made available so that they can be stored and reproduced, and must be read before each order is submitted.
Each contract is governed by the version of the Conditions published on the Site and accepted by the Customer at the time the order is submitted. Subsequent amendments shall have no retroactive effect on orders already accepted by REDA. The General Terms of Use of the Site and the Privacy Policy remain applicable within their respective scopes.
For any information regarding orders, shipments and, more generally, purchases, you can contact Reda customer care at the e-mail address store@reda.it, at the certified e-mail (PEC) address reda@pec.it or at the telephone number +39 015 7049111, Monday to Friday, from 8:30 to 12:30 and from 14:00 to 18:00 CET.
1. Scope, acceptance and conclusion of the contract
1.1 These Conditions apply exclusively to sales between professionals. “Customer” means the natural or legal person who purchases the Products for purposes relating to their business, commercial, craft or professional activity and who provides a VAT number or other equivalent identifier. Anyone purchasing for purposes outside such activity must not use the B2B channel and is invited to consult the B2C conditions of sale. The Customer’s actual status shall prevail over the declaration made at the time of registration or order.
1.2 The person submitting the order on behalf of the Customer declares that they have the necessary powers of representation and the authority to validly bind the Customer. REDA may request documents or information reasonably necessary to verify the Customer’s identity, powers of representation and professional status.
1.3 Before submitting the order, the Customer may check and correct the data entered, review the essential characteristics of the Products, the prices, taxes, charges and these Conditions, and save or print a copy of them. Submission of the order constitutes a contractual offer by the Customer and entails acceptance of these Conditions, without prejudice to the separate approval of the clauses indicated at the end of this document pursuant to Articles 1341 and 1342 of the Italian Civil Code.
1.4 The automatic communication acknowledging receipt of the order summarises the essential data of the purchase and does not constitute acceptance of the offer, unless it expressly states that the order has been accepted. The contract is concluded when REDA sends the Customer an order confirmation containing express acceptance, or performs the order by shipping the Products and notifying the Customer thereof.
1.5 REDA may accept the order in part only, clearly indicating this in the confirmation. Any general or specific conditions of the Customer shall not apply, even if referred to in the order or in any other communication, unless expressly accepted in writing by REDA.
1.6 REDA may decline to accept incomplete or inaccurate orders, orders relating to unavailable Products, orders not in line with its commercial policy, orders in respect of which it has not been possible to verify the Customer’s status or reliability, or orders for which payment has not been authorised. REDA shall inform the Customer thereof without undue delay and, as a rule, within 7 (seven) calendar days of receipt of the order. Any sums already collected for an order that has not been accepted shall be refunded without undue delay and in any event within 14 (fourteen) calendar days of the notice of non-acceptance, using the same means of payment, unless otherwise agreed.
1.7 The order and the related contractual documentation are archived by REDA for the time necessary to manage the relationship and for the periods required by law. A registered Customer may consult their order history in their personal area; it remains the Customer’s responsibility to keep the order confirmation and the version of the Conditions received or accepted. These Conditions are available in Italian and English.
2. Products and purchasing procedure
2.1 The products available for purchase (hereinafter, the “Products”) are those published on the Site at the time the order is submitted, as described in their respective product sheets. The availability displayed is updated with reasonable frequency but may vary until the order is accepted.
2.3 The Customer selects the Products and their quantities, completes the required data and submits the order following the Site’s procedure. Before submission, the unit and total price, VAT and other applicable taxes, shipping costs, any additional costs and the available payment methods are displayed. In the event of a discrepancy between the unit price and the total due to an obvious clerical error, REDA shall inform the Customer before acceptance and allow the Customer to confirm the order at the correct price or to cancel it at no cost.
2.4 The Customer must carefully check the order confirmation and promptly report any errors. After the conclusion of the contract, changes to or cancellations of the order are effective only if accepted in writing by REDA.
3. Prices, invoicing and payments
3.1 Unless otherwise indicated, B2B prices are normally expressed in euro and do not include VAT (prices in the store for the USA and Canada are expressed in dollars). Shipping costs, duties, taxes and any other applicable charges are indicated separately before the order is submitted or in the order confirmation.
3.2 Payment may be made by credit card, PayPal or advance bank transfer. Deferred payments are permitted only with REDA’s prior express authorisation and on the terms indicated in the order confirmation or in the invoice. Unless otherwise agreed, shipment is subject to the actual receipt of the sums due.
3.3 The Customer warrants that the invoicing data, including VAT number, tax code, recipient code and/or certified e-mail (PEC) address, are complete and accurate, and shall promptly notify any changes. The invoice is issued and transmitted in accordance with the applicable tax legislation.
3.4 Full card details are transmitted directly to the payment service provider via a secure connection and are not stored by REDA, save for the technical or accounting elements necessary to manage the transaction. REDA shall not be liable for the fraudulent use of payment instruments by third parties, unless the damage results from wilful misconduct, gross negligence or a breach of security obligations attributable to REDA, and without prejudice to the mandatory liabilities provided for by law.
3.5 In the event of late payment, default interest shall accrue automatically and the recovery costs provided for by Legislative Decree No. 231 of 9 October 2002 shall be due, including the flat-rate amount of EUR 40.00, without prejudice to compensation for further damage. REDA may suspend the performance of orders in progress or of further supplies until the Customer has fully performed its obligations, and may terminate the order concerned if the non-performance persists beyond the reasonable deadline set in a written notice to perform, as a rule not less than fifteen days, unless the nature of the contract or trade practice justifies a shorter period, without prejudice to the further remedies provided by law.
3.6 The Customer may not set off or withhold payments due, unless the relevant claim has been acknowledged in writing by REDA or established by a final decision.
3.7 Where the price is personalised on the basis of automated decision-making, this shall be clearly communicated before the Order is submitted, without prejudice to the protections provided for by the applicable personal data protection legislation.
4. Delivery, charges, transfer of risk and ownership
4.1 The Products are delivered to the address indicated by the Customer in the order, by the logistics providers appointed by REDA, within the timeframes and at the costs shown before the order is submitted or indicated in the order confirmation. The Customer is responsible for the accuracy of the address and for the presence of a person authorised to take delivery.
4.2 REDA may make partial deliveries where this is reasonably necessary and does not entail additional shipping costs for the Customer, unless the Customer has an objective interest, notified in advance, in receiving the entire order in a single delivery. Each partial delivery is accompanied by the relevant documentation.
4.3 Delivery times are estimates and are not of the essence, unless the order confirmation expressly qualifies them as such. In the event of a significant delay attributable to REDA, the Customer may set, in writing, a reasonable additional period of not less than fifteen working days. If such period expires without delivery, the Customer may terminate the part of the order not yet performed and obtain a refund of the sums paid for the Products not delivered, without prejudice to any further mandatory remedies and to the provisions of Article 12.
4.4 For deliveries outside the European Union, unless otherwise indicated in the order confirmation, the Customer acts as importer, bears duties, import taxes, customs clearance costs and other local charges, and is responsible for compliance with the formalities and restrictions applicable in the country of destination.
4.5 Upon receipt, the Customer must check the number of packages and the integrity of the packaging. Damage, tampering, missing packages or immediately detectable discrepancies must be specifically noted on the carrier’s document and notified to REDA within 8 (eight) days of delivery, with photographic documentation where reasonably available. A reservation made with the carrier facilitates the handling of the transport claim and does not limit the Customer’s mandatory rights against REDA.
4.6 Quantity discrepancies, assortment errors or other completeness issues detectable through an ordinary inspection must be notified to REDA within 8 (eight) days of delivery. Defects that are not immediately recognisable remain governed by Article 8.
4.7 Where transport is organised by REDA using one of the methods offered on the Site, the risk of loss or damage passes to the Customer upon physical delivery of the Products to the Customer or to the third party designated by the Customer. If the Customer independently appoints a carrier not proposed by REDA, the risk passes upon delivery of the Products to that carrier.
4.8 REDA retains ownership of the Products until full payment of the relevant price, within the limits and with the effects provided for by Articles 1523 and 1524 of the Italian Civil Code. The Customer assumes all risks relating to the Products from the time of delivery and shall keep them with due care. Without prejudice to the foregoing, the Customer is authorised, in the ordinary course of its business, to process, transform and resell the Products even before full payment, remaining in any case obliged to pay the price on the agreed due dates. Such authorisation does not entail a waiver of the retention of title over Products not yet transformed or resold, provided that they are identifiable and in the Customer’s possession, nor does it allow the Customer to create any encumbrances or security interests over them in favour of third parties. In the event of non-payment on the due date, the authorisation shall automatically cease and REDA may request the return of the Products that have not been transformed or resold and are still identifiable, without prejudice to the further remedies provided for by law and by these Conditions.
4.9 Any Incoterms® delivery terms expressly referred to in the order confirmation shall prevail over the provisions of this article solely with regard to the aspects governed by them.
5. Contractual right of withdrawal
5.1 Since the Customer acts as a professional, the right of withdrawal provided for by the Italian Consumer Code does not apply. However, REDA grants, on a purely commercial and contractual basis, the right to withdraw from the purchase of one or more Products without having to give any reason, within 14 (fourteen) calendar days from the date of delivery. For an order delivered in several shipments, the period runs from the delivery of the last Product concerned by the withdrawal.
5.2 The right must be exercised by means of an unequivocal communication sent within the deadline to store@reda.it, stating the company name, contact details, order number and date, delivery date, and the codes and quantities of the Products to be returned. REDA shall provide instructions and, where applicable, make the return label available.
5.3 Contractual withdrawal is not permitted for Products made to measure, cut or processed according to the Customer’s specifications, personalised or in any case not able to be returned to stock, where such characteristic and the exclusion have been indicated in the product sheet or before the order was submitted. The remedies for defects, lack of promised qualities or delivery of a Product other than the one ordered remain unaffected.
5.4 The exercise of the contractual right of withdrawal is effective only if the conditions and time limits set out in Articles 6 and 7 are complied with. It is without prejudice to the Customer’s rights under Articles 1490 et seq. of the Italian Civil Code.
6. Returns
6.1 After notifying the withdrawal pursuant to Article 5, the Customer must hand over the Products to the carrier indicated by REDA within the following 14 (fourteen) calendar days and follow the instructions received from Customer Care.
6.2 The cost of the standard return method authorised by REDA is, as a rule, borne by the Customer. Shipments independently arranged by the Customer without prior authorisation are not reimbursed; the Customer remains responsible for the correct preparation and adequate packaging of the return.
6.3 The Products must be returned intact, unwashed, unaltered, uncut, unprocessed and free from damage other than that necessary for a reasonable examination of their nature and characteristics. Labels, seals and accessories must be present, if originally attached. The Product must be returned in its original packaging, where reasonably reusable, together with the return form and proof of purchase or other document suitable for identifying the order.
6.4 The return must originate from the same country in which the order was delivered, unless REDA has given prior written authorisation. The return destination is Successori Reda S.B.p.A., Via Robiolio no. 25, 13835 Valdilana (BI), Italy, or the different address communicated in the return instructions.
6.5 REDA inspects the Products, as a rule, within 7 (seven) working days of receipt and notifies the Customer of the acceptance or reasoned rejection of the return. Compliance with this time limit depends on the completeness of the information and does not entail tacit acceptance of the return.
6.6 If the reduction in value results from handling, use or treatment beyond what is necessary to examine the Product, REDA may reduce the refund proportionally, giving reasons and providing the basis of calculation. If the Product substantially fails to meet the return conditions, REDA may reject it and make it available to the Customer for redelivery at the Customer’s expense.
6.7 The risk relating to the return shipment remains with the Customer until the parcel is delivered to REDA, unless the loss or damage is attributable to the carrier expressly appointed by REDA by means of the return label provided to the Customer.
7. Refunds
7.1 If the contractual return is accepted, REDA shall refund the price of the returned Products within 14 (fourteen) calendar days of notifying the positive outcome of the inspection. The original delivery costs, optional services, duties, import taxes or other charges incurred by the Customer are not refunded, unless the return results from an error attributable to REDA or from an acknowledged defect.
7.2 The refund is made using the same means of payment used for the purchase, unless otherwise agreed and except in the case of bank transfer, for which the Customer must provide correct bank details in the name of the same party that made the payment.
7.3 Crediting times following the refund order depend on the payment service provider or the Customer’s bank and are not controlled by REDA. REDA remains responsible for issuing the refund in a timely manner within the time limits set out in this article.
7.4 Any credit notes are issued in accordance with the applicable tax legislation. REDA may set off the refund against liquid and payable claims it holds against the Customer, subject to prior notice.
8. Warranty for defects and lack of quality
8.1 The Products are covered by the warranty for defects provided for by Articles 1490 et seq. of the Italian Civil Code and, where applicable, by the rules on lack of promised or essential qualities under Article 1497 of the Italian Civil Code. The legal guarantee of conformity provided for by the Italian Consumer Code does not apply.
8.2 The warranty does not apply to defects of which the Customer was aware at the time the contract was concluded or which were easily recognisable, unless REDA had declared that the goods were free from them. Nor does it apply to defects arising after the transfer of risk and caused by improper use, failure to observe the storage, processing, maintenance or washing instructions, normal wear and tear, alterations made by the Customer or by third parties, or by materials or specifications supplied by the Customer, to the extent that such circumstances caused the defect.
8.3 On pain of forfeiture, apparent defects must be notified in writing within 8 (eight) days of delivery and hidden defects within 8 (eight) days of their discovery, unless REDA has acknowledged or concealed the defect. The notice must identify the order and the Product and describe the defect, attaching photographs or other reasonably available documentation.
8.4 The Customer must allow REDA to examine the Product and must not continue with processing likely to aggravate the damage after detecting the defect. REDA shall provide instructions for any return; if the defect is acknowledged, the reasonable costs of the return shall be borne by REDA.
8.5 Where the legal requirements are met, the Customer may exercise the remedies provided for by Articles 1492 et seq. of the Italian Civil Code, including price reduction or termination of the contract in the cases permitted. REDA may offer repair or replacement of the Product; such remedy applies if accepted by the Customer and without prejudice to the mandatory remedies available to the Customer.
8.6 The warranty claim becomes time-barred one year after delivery pursuant to Article 1495 of the Italian Civil Code. A Customer sued for performance of the contract may assert the warranty within the limits provided for by the same provision, provided that the defect was notified within the prescribed time limits. Liability for damages under Article 1494 of the Italian Civil Code and the other applicable mandatory rules remain unaffected.
9. Complaints and requests for information
9.1 Complaints, notices of defects and requests relating to orders, payments, deliveries or returns may be sent to store@reda.it, via the contact form on the Site, by certified e-mail (PEC) to reda@pec.it or by registered letter with return receipt to Successori Reda S.B.p.A., Via Robiolio no. 25, 13835 Valdilana (BI), Italy. For assistance, the number +39 015 7049111 is also available during the hours indicated at the beginning of these Conditions.
9.2 The communication must state the Customer’s company name, the order number, the relevant contact details and a detailed description of the request, accompanied by the relevant documentation. REDA confirms that the request has been taken in charge and replies without undue delay, taking into account the complexity of the case and the necessary checks.
10. Personal data protection
10.1 REDA processes the personal data of the natural persons acting on behalf of the Customer in compliance with Regulation (EU) 2016/679 (“GDPR”) and the applicable national legislation, for the purposes and in the manner described in the Privacy Policy published in the Legal Area of the Site. Read the Privacy Policy.
10.2 The Customer warrants that it is entitled to disclose to REDA the personal data of its directors, employees, collaborators, consignees or other contact persons and undertakes to provide them with the information on processing required by the applicable legislation.
11. Governing law, mediation and jurisdiction
11.1 The Conditions and the contracts concluded on the basis thereof are governed by Italian law. The application of the 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded, without prejudice to mandatory rules and non-derogable provisions of private international law.
11.2 The parties shall submit disputes arising from the Conditions or from the related contracts, including those concerning their interpretation, validity, effectiveness, performance, breach, termination or expiry, to a prior mediation attempt governed by the Fast Track Mediation Rules of the Milan Chamber of Arbitration (Camera Arbitrale di Milano), in accordance with the rules and schedule of fees in force at the time of the request. Fast Track Mediation Rules; fees.
11.3 The mediation attempt shall be deemed completed when the procedure is closed in accordance with the relevant rules, when the invited party expressly refuses to participate, or when the time limit set by the rules for its participation expires without response. This clause does not prevent either party from seeking interim or urgent measures, bringing order for payment proceedings or taking the steps necessary to avoid forfeiture or limitation periods.
11.4 If the mediation attempt does not lead to an agreement, any dispute shall be referred exclusively to the Court of Milan, without prejudice to any mandatory jurisdiction provided for by law.
12. Liability and force majeure
12.1 To the extent permitted by law, REDA shall not be liable for indirect or consequential damages, loss of profit, production, contracts, business opportunities, goodwill or data, or for business interruption, unless such damages are an immediate and direct consequence of a breach by REDA and were foreseeable at the time the contract was concluded.
12.2 Without prejudice to Article 12.3, REDA’s total liability arising from or in connection with each order may not exceed the net consideration, excluding VAT, paid or payable by the Customer for the order affected by the damaging event.
12.3 The exclusions and limitation set out in Articles 12.1 and 12.2 do not apply in the event of wilful misconduct or gross negligence by REDA, personal data protection breaches attributable to REDA, mandatory liability for defective products, or in the other cases in which liability may not be excluded or limited pursuant to Article 1229 of the Italian Civil Code or any other mandatory rule.
12.4 Neither party shall be liable for delay or non-performance due to an unforeseeable and unavoidable event beyond its reasonable control which cannot be overcome with ordinary diligence, such as natural disasters, fires, wars, embargoes, measures of public authorities, general strikes, epidemics, widespread interruptions of transport, energy or telecommunications, and cyber-attacks of exceptional severity (“Force Majeure”). The affected party shall inform the other party without undue delay, indicate the foreseeable effects and take reasonable measures to limit them.
12.5 The obligations affected by the Force Majeure event are suspended for its duration. If the impediment continues for more than sixty calendar days, either party may terminate, by written notice, the part of the order not yet performed, without penalties or compensation; REDA shall refund the sums received for the Products not delivered. The consideration for performances already duly rendered remains due.
13. Final provisions
13.1 Operational communications are sent to the contact details indicated in the account or in the order. The Customer is required to keep them up to date. Communications having legal relevance may also be sent by certified e-mail (PEC) or registered letter to the addresses indicated in these Conditions or subsequently communicated.
13.2 The Conditions, the order confirmation and any specific conditions expressly accepted by REDA constitute the entire agreement relating to the individual sale. In the event of conflict, the following shall prevail, in this order: the specific conditions signed by the parties; the order confirmation; the product sheet as regards the Product’s technical characteristics; these Conditions.
13.3 The invalidity or ineffectiveness of any provision shall not affect the other provisions. The parties shall replace the invalid or ineffective provision, to the extent permitted by law, with a valid provision that achieves its economic purpose as closely as possible.
13.4 Failure or delay in exercising a right shall not constitute a waiver and shall not prevent its subsequent exercise.
13.5 If the Conditions are made available in more than one language, the Italian version shall prevail in the event of differences in interpretation, unless applicable mandatory rules provide otherwise.
13.6 REDA may update the Conditions by publishing the new version and its date on the Site. Updates apply exclusively to orders submitted after their publication, unless otherwise agreed in writing with the Customer.
